Trance 5 Capital Raise and Relisting

• The Tranche 5 capital raise of £5,000,000 is at a face value of 10P issuing 50,000,000 ordinary shares

• This is proposed for the 2nd Quarter of 2026 along with the relisting of Herencia Resources.

• On completion of this capital raise Herencia will have issued capital of 117,821,850 ordinary shares at

a projected relisting price of 10P and Market Capital of £11.78M

Phase 1: Capital Restructure and Resolution of Prior Debt Completed

• All shares in Herencia Resources have been consolidated to a total of 16,821,850 ordinary shares at a

face value of 2.5P.

• Convertible Note Holders in Herencia Resources have agreed to waive all convertible notes that were

not converted to shares prior to the Company’s delisting in 2019.

• Accumulated debt of £75,000 expended on maintaining the company since delisting has been converted

to equity at a face value of 2.5P.

• The resulting restructured Company has issued capital of 19,821,850 ordinary shares with a face value

of 2.5P valuing the current shell Company at £495,546.

@ Billyblogs - not sure how that can still be according to the last RNS's issued here there were 11bn shares in issue .... With loans still to be converted from what I can tell ..... According to the website there is only currently 19M shares currently in issue & only 31M (+12M) for the seed cap raise ....looks to me like there may be about a 1000/1 consolidation to accommodate - unless my reading of it & maths is out!! Time will tell I guess but then anything is better than nothing 🤗

.....well there's at least one element of that we know has changed isn't there...

It's now 2 months since they announced that 2T of samples were collected & to be sent for analysis re 67% green steel potential allowing for shipment, customs & processing we should hear on that within the next 2-6 weeks if sent by Sea (sooner if by air) ...

You will also be aware:

a) the Sonora licences are currently cancelled & we sold out of BCN years ago before the sale after we torpedoed them.

b) we no longer have any interest in Yangi or Hastings

c) we no longer have any interest in Greenland

d) we no longer have any holding in MacArthur

e) we no longer have any interest in Leogang or Clancy

f) we no longer have any interest in Auroch or many other holdings we once had

we do have:

a direct holding in Evergreen which on little real progress or activity since listing has plummeted over 60% from 20c to just over 7c.

A small (if anything) minimal holding left in EMH which will make little difference to our SP any longer regardless of what it does.

& the probably the last thread holding this share afloat is our holding in PBA which owns Dev & the Amapa project ... if that fails it's goodnight Vienna & kiss goodbye to your socks if you ask me.

Kept our directors going nicely over the years though eh
