“Following submission of the Environmental Impact Assessment ("EIA") for the Company's first Zimbabwe project and stakeholder meetings, an environmental certificate has now been issued. The Company can therefore start production and sale of lithium product”

3rd July RNS

Certificate of Registration was last week issued in relation to the Company's application through its local subsidiary for a new lithium licence near Bikita, giving the Company a licence covering 94 hectares. Certificates for two small extension applications adding 45 hectares to the core licence in this area were also recently granted. Also near Bikita, adjacent to a purchased area where transfer is in process, registration of two small extension licence areas of 21 ha and 22 ha was recently granted.

Holding a registered licence, provided that an environmental certificate is obtained and other obligations are meet, allows mining operations. All such claims have a 12 month life and must be continuously worked to obtain renewal of title. The law also provides for conversion to a Mining Lease of longer duration.

Red Rock Chairman Andrew Bell comments: "As work continues to prepare for processing and sale at our first location, we are in parallel working to continue the process of licence grant or transfer where this is not completed.

Key current tasks are the beaconing and procuring of EIAs for recently granted licence areas, establishment and testing of representative samples, procurement of crushing and beneficiation equipment, procuring of export licences, and establishment of sales channels. Discussion has begun with sales agents in China for sale of lithium ores, and a potential contract miner/partner has sent an experienced South African consultant geologist who from 10th to 14th August with ALR personnel conducted due diligence at ALR's locations in Zimbabwe.

Red Rock Chairman Andrew Bell comments: "These high grade Lithium Oxide results show the potential that exists, and we continue discussions with potential customers and contractors. Further news will be released as it becomes available."

The Company also notes the increase in its share price today and is aware of no unpublished price sensitive information.

The CEO of the Company is currently in Zimbabwe to plan operations, together with an entrepreneur with decades of African experience, Mr Sam Mahendran. After site visits have been carried out a further report will be made, but the business model as noted in the announcement of 18th August is now focussed on export sales. Discussions have been carried out with several potential offtake partners and will continue in Dubai on the return leg of the current trip. Any definite agreement with results will be reported in due course.

The main substance of my post still stands. RNS only AFTER GM between the 18th and 25th accompanied by a share issue (hopefully at a high price as the news is good). What will the news be :

- DRC - i said over a year ago it was dead and there has been no "evidenced" progress since. Why would Bell not keep it hanging ?

- ALR - Exports not viable in current price environment and RRR does not have the resources. Our own broker First Equity indicates the value is only £9m over FIVE years in a favourable price environment. As Zumore said wont happen.

- Sale of Kenya / Aussie assets. AB would have been pursuing this relentlessly over the last year. Its not happened yes wrong environment but we are where we are.

My guess is (and i've watched the company for years) is an RNS about a asset sale probably Australia or Kenya .

Yes it will give the SP a boost but what does it say about (DRC and ALR ). The wording will also be vague re T&C's and completion and the Greenland spectre will re-appear.

All in my own opinion but lets see how it plays out.

Yes Mick they had a price of £3.20 only 18 months ago. Not sure I trust what they say.

Key defining metric is now cash. See my earlier post. Its nailed on for a special dividend.

At this level return is 10.9p dividend 3p buy backs [£8m a year] minimum 5p special so 18.9p. So 15% per annum which is IMO easily the new base with growth likely.

If this ends the year at this range it is my number one tip for 2024.

Also think at £2 - £2.25 a number of companies will be running the ruler over this and best to strike when SP is very subdued.

Last year the AGM was 8th December and AB got the fund raise away on 15th December. A week.

This year the AGM is the 17th Nov fund raise on 26th !!

Not being negative but in the interests of all SHs a good time to release news is just after the 17th. Issue into or current CLNs convert at highest price possible on great news re progress.

Poster DV Harrison reckons this is a great trade and liquid is similer. I expect lots of activity after AGM and Earl will back. Very spikes SP.

Question long term is - will the news live up to the considerable twitter hype ? Helpful and AB are not down playing RRR prospects.

Plugging current lithium prices through First Equity model makes ALR probably unprofitable. NPV was only $8m over five years when Lithium prices were two thirds higher. DYOR.

To be honest Zumore. I think the fat lady is singing and AB has run out of lives. All that's left is a miracle on Zimbabwe and pushing any real news back to after AGM and a final share issue.

What I do feel is when it folds [ probably via a suspension of sorts)] the exit strategy has been meticulously prepared.Everything is in place in terms of preferential creditors / charges etc. I don't dispute the assets are worth more than the market cap but any eventual value will be for the few not SHs. Helpful will be fine he has pre-emptive rights above mere mortals. Very risky share.

As a 10% holder in ALR and holder of CLNs he has a duty of care to post with due care and consideration or not at all

To be fair maidit. I did tell speculative a tip by Questor was excellent news and worth 50% on SP. Even I would have been impressed.

Ask yourself who found the post and generated the interest Helpful.

He Bell and the cronies will keep this bubbling with rumour and innuendo until new shares are available.

They will then release an RNS with best news they have and issue into the rise.

The more I look at this the more I think it's an superb buy.

Effectively recession proof re core sales.

We had a worry about utility prices. £10m extra but that's now dissipated.

No debt - leases irrelevant.

Capital allocation policy is £50m cash at seasonal low of 31st December. They had £99.5m Dec 22.

That's despite paying 10.9p dividend ( cost £27m ).

Buys backs equivalent to a year's dividend £25m but painfully slow £4m spent as of Friday.

This is the bit I most like £190m cash at 30th June 23 ( £26m higher than June 22).

Implication we hit Dec with cash of circa £125m !!

and a policy to only have £50m.

Buy backs are out - too slow and allready funded.

I think there will be a move to a special dividend with surplus capital. My guess is 10p.

My view is any news will be supressed until they get the share authority ( after the AGM) and they will issue into the rise. By the few for the few.

Stephen told us to do our reseach rainy season Nov - March which makes logistics and transport difficult. In Zimb / Moz . Bell is unlucky. Still it's all about gold now.

To me the company is on a thread and only DRC can save it. Personally if I was the auditor I would ask for a fair value test. What could he sell his rights to the DRC for on the open market ? For me they can't pull Elephant and DRC again and the extra shares just pay the CLNs [ they don't add cash]

If they qualify on a going concern basis or even emphasis of matter IMO Bell won't publish the accounts and they go into technical suspension on 31st Dec pending clarification.

Speculative was taken aback when I said RRR might not exist in 10 months. The proof of the pudding is can Bell convince the auditors on going concern. Still he's still drawing his salary so must be confident :) Very interesting time and things really reaching a head.

As part of their going concern enquiries into the 30th June 2022 accounts sign off the Auditors were shown cash flow statements which indicated.

- a scenario where Directors forgo their salary ( regular posters will love that it's brilliant)

- £1.4m of asset sales. Elephant and Royalties from Limon

- £4.9m of income from DRC settlement.

Based on assurances on these from Directors for the year commencing 1st July 2022. the accounts were signed off.

Groundhog day as the same discussions will be had for June 2023 accounts.

The jewel in the crown that reveals all is the infamous 19th January 2023 broker report by First Equity.

I use the word infamous as it had a target SP of 2.8p !!!! Less than a year ago !! How Helpful used this to drag in unsuspecting investors and where are we now ? Sadly less than one twentieth of that. What a year for RRR and Bell.

I digress

So First Equity valued in January 23 the net present value over 5 Years of RRRs stake in ALR as $10.8m (so £9m) £1.8m a year. Hardly game changing.

To get that RRR have to mine 60,000 tones a year. 164 tonnes a day and truck it to port etc. I have real doubts RRR is capable of that. Thats a serious undertaking for an exploration company which Bell has allways said we are :)

Since Jan 23 - Lithium prices are down nearly two thirds but grades might be slightly better. Costs will be up hit by very inflation +30% in Africa . At current prices this really feels like a loss leader if the assumptions were reworked.

Helpful will push back and say the scale is now much higher but logistically any increase would be far too much for a minnow like RRR. Fixed costs are also as Helpful points out minimal so marginal profit wont increase as volumes do.

A month ago Helpful was ranting about do the numbers and a report that would blow our mind. He said it was from first equity.

Its probably not appeared as the numbers dont work particulalry with Lithium prices as they are. A rethink will be taking place.

Zumore unfortunately I think you could be right Andrew has marched us to the top of the hill to only march us down again. Its all about Gold :)

Fair point on writing to the CEO. That would make me one of the privileged few who had pre emptive rights above all others. That's an exclusive club for the likes of Riversfort and Helpful. It's the old boy network. I dont think they let ordinary joes in. Do you have similer in Canada ?

I suspect Robins it back to the old adage " it's run by the few for the few." The major shareholders are in it for themselves. In ten years shareholders have never been invited to participate in a raise via a rights issue. It's allways been placing and warrants with incentives sweetners lucrative interest rates and more. It continues now the latest CLN has a 6% interest on day zero, 15% placing discount and millions of warrants. I'm afraid ordinary Jo's are collateral damage allways have been and allways will be.

Still Helpful says Questor will recommend us as the next great thing on Sunday so strap yourself in.
