Seems I wasn’t the only one who got confused with the wording off the royality agreement. Proactive investor read it the same as I did. They are saying 5% up to 13mpta then reducing to 1%. Where as someone pointed out. It’s 5% for life for the first 13mpta produced. And a further 1% from anything above 13%

It’s amazing just how much is in that prospectus really and shows the importance of discussion. As we cannot retain all of the information and it is a hard read. I never realised that the mandated letter required for this royality deal was out in April 2017.

I work it out because she gets her royality no matter what. If we have 100 billion shares in issue and the sp is 0.1p she gets her royality.

Shelling out 250 million not 5%

She is hardly shelling out 5% on a whim. She is getting 5% revenue plus. On a mine that will definately get built no matter what as CF has confirmed. Therefore it could cost whatever to build it and it won’t matter to Gina. She gets her royality. She also gets 200 million shares for $50 million and a place on the board.
A whim that we would snap there hands off for. It won’t take long for her to get that 250 million back through revenues with absolutely no risk to her considering CF will throw the kitchen sink in, in order to get the mine built. At massive costs which have recently got even bigger.

Myo. Even as a holder I raised what Was considered negative points without fear it was going to crash the market. It’s a discussion board to discuss. Like when cf tried to get the bond holders to convert I was unhappy with that and conveyed it and got stick for doing so. People are getting the facts wrong today and not being picked up on it because it’s positive.

Paaa. It says in today’s RNS. The 50 million for 200 million shares won’t be done until stage 2 is sorted. The conditions of getting the royalty deal was that stage 1 was done. Or am I making it up?

Paaa. This was the salient point about royality.
The Royalty Financing Agreement is conditional upon the Company completing its Stage 1 financing (taking into consideration amounts received under the Royalty Financing Agreement) and two confirmatory due diligence items which will be satisfied prior to the Stage 1 financing being finalised.

Yet cranleigh can post wrong stuff and not be scrutinised. The royality was not to do with stage 2 being done. It was on successful completion of stage 1.

Myo. What are you talking about? How is it negative asking wether the revised dates for achieving the mpta effects the royality deal? I don’t know why people are so defensive.
It’s like when it mentions that she will get 200 million shares at 20p, the response is? Well this is already known to the market.
Yet in following posts people being excited that Gina is here, well guess what this was already known by the market. It’s once again finger in the ears when the wrong questions are asked. Grow up.

Myo. My question being. The deal last year was she gets 5% royality up to 13mpta. Now 13mpta has been put back a couple of years is she getting more. The 13mpta is not just a random number. The reason it was chosen is because we only currently have planning permission to produce 13mpta. No doubt Gina is hedging that we never get permission to go up to 20mpta therefore getting 5 % royality for ever. The original forecast was 20mpta by 2026 but the new forecast is 13 mpta by 2026 and 20 by 2029. Please advise.

I cannot find reference to the original date of 13mpta. This was the latest.
The Company has revised its production capacity expansion plan to incorporate expected senior debt facility terms that would restrict the ability of the company to use cash flows from operations to fund expansion of the Project to 13 Mtpa production. Under the revised assumptions the Company expects to reach 13 Mtpa production capacity in 2026 and 20 Mtpa in 2029.

Mr dt. It clearly states the 50 million is dependant on the stage 2 finance.

If they get 5% royalty until we reach 13mpta. Did the last RNS put us reaching 13mtpa a couple of years back due to capex? Does that mean they get 5% of revenue for longer it does it cancel itself out?
