Issue of new Ordinary Shares and Financial Position

Following the approval of the Prospectus, £90,761,000 in nominal value of convertible loan notes (CLN 1 and CLN 2) will automatically convert in accordance with their terms. Consequently, on 18 December 2025, the Company will allot and issue 10,676,100,000 new Ordinary Shares ("New Shares"). The total issued share capital immediately following Admission will be 11,203,900,200 Ordinary Shares.

As announced on 11 December 2025, the Company holds approximately £90.0 million in cash. The Company intends to utilise this cash balance to repay approximately £78.2 million to remaining noteholders upon the maturity of the outstanding loan notes on 30 December 2025.

Following this repayment, the Company expects to retain approximately £11.8 million in cash and hold 620 Bitcoin (worth £40.5 million based on the current market price of Bitcoin) with no material liabilities. The asset base of the Company will therefore be approximately £52.3 million.

I'm in VULT and was delighted to read the RNS this morning. To be honest I'd not arrived at the idea you've suggested here, doesn't mean it's not on the cards though.

I think the issue of valuation is quite deep here.

The market doesn’t currently know what to do with Bittensor or how to apply a value to it in the form it’s taking with ASTR. This is all somewhat new and may take time to evolve.

The deeper issue though, is beyond this. That a single person can and does have so much influence over the entire structure and existence of Bittensor has historically put off traditional and substantial external investment.

Unlike Bitcoin, whose founder famously disappeared quietly without a trace, the founder of Bittensor is very visible and active and has a habit of occasionally throwing a random grenade.

Markets don’t like loose cannons, or potentials for random grenades.

Ergo, this may take a while.

Unexpected but welcome.

I hold shares in this company, I'm retired and I'm one of those people that you read about in the press that got fed up, sold the lot and left the UK to live on a Greek Island, where there's little to do in the winter. (just how I like it).

So In between gardening, grocery shopping and keeping in shape, I keep an eye on the shares I bought, and spend a bit of time on bulletin boards, rueing the bad decisions.

What are the BOD's doing towards that goal?

You seem so positive, what is the strategy here? What is the business model? Where is the revenue that's going to attract institutional investment at a scale that would be needed to swing this back to 20p+?

The reality is you can't, becuase the reality is, the BOD's don't know either. If they did, we would have had the rebrand, we would have had conversations on potential investments. BTC purchases when it's $40K less that highs.

Buy the dips right? The only thing they're buying is business class flights, hotel rooms and nice lunches.

And after all that's said and done, right now the entire world economy is waiting on every move that the orange game show host makes in the White House. Trump, right now, (and Morgan Stanley) are controlling BTC. Are you confident either of them are going to behave in a manner that benefits the markets or benefits themselves?

This is an outright punt, a bet. It isn't in any way, shape or form an investment.

Delusion, you're speaking as if they're in some sort of control of what is happening.

They have so far failed to meet their own goals, the rebrand and US investment on the OTC to name just two.

It has no income (despite suggesting it does - still no proof) a top heavy board of unknown monthly cost and little to no hope of raising capital in the short or even medium term.

It is not alone. MSTR is now building a USD treasury, imagine that, THE BTC maxi starting to build in greenbacks. SATS has sold half it's BTC treasury in the hope of staving off insolvency, SWC is facing a similar D-Day in only a few months time.

There is no strategy here, when are you going to wake up and smell the roses. It shot it's bolt and got it wrong.

Right now every DAT company is waiting, reliant on the value of BTC and crypto in general which ironically seems now to be controlled by corporate policy and the ebbs and flows of tech stocks.

The anti estblishment decentralised crypto world is now mirroring tradfi.

If the medium/long term plan is destroying the SP, then they're smashing it.

It needs to pretty much 10 bag for many to break even here.

Summed up pretty concisely IMO.

Right now, Digital Assets Treasuries are on life support. All of them.

The market/world is waiting to see how this pans out. How BTC pans out after the drops from its recent highs.

Any and all investment in this sector is on hold. The silver lining to this cloud is that HAMA dragged its feet for so long, it didn't pile in on BTC beyond what it already holds and finds itself left holding the baby.

Right now, all eyes are on Satsuma, which if its prospectus isn't accepted by the LSE for main market listing on Dec 30th, will be insolvent and calling in the administrators.

Next all eyes are on SWC to see what they do when the CLN's hit maturity and the SP isn't anywhere close to the number at which they convert.

This entire sector (DAT's) is currently almost entirely reliant on a rally in Crypto, mainly BTC.

Meanwhile HAMA, is seemingly playing at goldmining whilst the crypto world plays wait and see.

America seems to be the key to all this. It's either going bang in a spectacular way that's going to make 2008 look like a minor blip....or...well, I'm not sure what the or is to be honest. A new paradigm I guess. Trump does "something" with crypto to devalue the USD and make a big hole in the Trillions of USD national debt, on which the interest payments alone are currently more than the annual military spending budget.

US interest rates tomorrow. If they don't cut it's probably going to be a bloodbath.

There was a lot of information imparted in that video. What caught my eye most was the section at 1:00.51 discussing obstacles to Bittensor in general (not SN127 specific). Particularly revolving around the role, behaviour and presence of the founder himself. It's rather obvious what needs to happen if this is to grow and attract serious fiat investment from external sources.

Timeframe here is months minimum. As I'm still to understand how this investment relates to an increase in SP in ASTR in the FIAT world. It feels like we're so early that it's like the wild west still and some law and structure needs to be implemented for the wider (tradfi) market to take it (Bittensor as a whole) more seriously.

That's the risk/reward though, isn't it.... in now for fractions of a penny. The bet is that if it comes good it's 10X, 20X....100X who knows?

This is a slow burn, sit back and relax and let it unfold in its own time. Zoom out a bit, look at the bigger, longer term picture.

Everything about what they're doing right now appears to be setting up foundations for something of substance.

The market needs to understand what it is before it decides what value to apply to it. We're in, we're early and frankly, we don't really know what's going on right now other than decent emissions, lots of new developments, people taking the reins that have direction and appear to know what they're doing.

I think the new directors are also finding their own feet on what they can and can't say now as company officers when it comes to social media.

It certainly looks promising/exciting. Hopefully soon we find out exactly what "it" is and how it will generate revenue for the PLC parent company that translates into SP/Fiat substance.

When that occurs, that's when it will take off. That will likely be months, not days or weeks.

Also the Halving of Tao occurs in less than a fortnight. Some are closing positions to see what happens after the halving.

Your assumption is they don’t know what’s going on. But they will know, they are after all insiders.

The only time Nick now needs to speak is if there is any market sensitive information, which clearly there hasn’t been for a while. It’s only investors kept in the dark.

When I bought into this share I realistically didn’t expect anything of substance to happen until next year. But what I didn’t expect was radio silence and a seeming complete lack of direction.

The market isn't asleep. It just currently doesn't understand or attribute any fiat value to Tao or Bittensor via an Aquis listed holding company for the assets.

That's the hurdle for ASTR to overcome. I'm not entirely sure how or when is does that.

A massive pivot took place over the last week or so. It's going to take some time to get to grips with it, if it does get to grips with it.

Assuming there's some sort of earnings or financial statement at the end of the year, how the market reacts to that will be a barometer moving forward.

Crypto in the doldrums isn't helping things at the moment.

I'm invested here, and quite frankly, I now don't understand it despite my best efforts. It's clear to see there is a generation of Tao from the subnet and "other" sources. What I'm yet to grasp is how this translates into earnings/income/value/share price for the investor in ASTR. I think the market is waiting for the answer to that as well. When that answer materialises in a meaningful and understandable way, the SP will likely react accordingly.

Until then we're in limbo.
