"It comes a year after an approach, said to have been pitched by a US buyout firm at 900p-a-share, was withdrawn amid market uncertainty prompted by Russia's invasion of Ukraine.
It remains possible that no formal bid will be made for the company during the latest set of discussions."
=====================================================================
My mind boggles. I guess it's a case of Chinese whispers.....so we could have had a deal for 900p if it wasn't for Putin. Instead we get rumours about a 'maybe' deal. I'm sceptical but would love to be proven wrong.
baldy,
I blame Sky News for the speculation:
https://news.sky.com/story/adtech-group-tremor-screens-interest-from-potential-bidders-12833617
Tricky, I'm not sure what that tells me.
As far as I know there hasn't been an offer for the company, and until there is confirmation of an offer (or that someone is even looking at the books) then any talk of potential offers is pure speculation imo.
When is a target company required to announce it is in talks with which may lead to a takeover offer under the Takeover Code?
Answer:
An announcement must be made if the target company has been approached by a bidder and that approach has not been unequivocally rejected (i.e. discussions are ongoing) and:
(1) there is a leak in the media; or
(2) there has been an ‘untoward movement’ in the share price of the target; or
(3) more than six external parties have been informed about the possibility of an offer (the “rule of six”).
Tricky, are you saying that the lack of any firm confirmation of a bid doesn't mean that 'someone' isn't looking at buying TRMR?
baldy,
Many competitors run the slide rule over other companies and then sign confidentiality agreements if they are serious about taking it further.
Names of potential bidders are not normally disclosed until one becomes serious and the board accepts, otherwise it could create a false market, i.e. a rise in the sp.
Been mulling this Q for a wee while and formed the opinion that, given the context of Scrdrs as one of the big 3 II's: If trmr listen to its II's "advice" - there won’t be too many phone calls.

".....am curious who you all think is standing in the wings ready to buy TRMR"
==================================================================
I don't think anyone has been named as a potential candidate. I'm guessing they are referring to a hedge fund of some sorts. I would class it as wishful thinking....but stranger things have happened.
Up to this point TRMR has been the suitor trying to buy other businesses. I'm not sure if it's a good sign that they are now being seen as the prey by some people. But I suppose if it boosts the SP I wouldn't complain too much.
It's been quite a while since I've been here having last year sold the last few shares I picked up when BLNX bought BRST. But I still follow the stock a bit and am curious who you all think is standing in the wings ready to buy TRMR.
Having had a buyer in the wings when the sp was around 800p last year I can't see Ofer or the major shareholders letting this go for a song when times are hard, i.e. now.
Buyer finally showing their hand?
But longer term the growth potential here is huge, the global programmatic display advertising market was valued at USD 451.3 billion in 2021, and is projected to reach USD 9473.3 billion by 2031, growing at a CAGR of 35.8% from 2022 to 2031.
Sold that last top up for 237p
212 to 237 = 11.8%
In hindsight would of been wiser to keep topping up hit 205p on 3/4/23.
And a good job I do not look investing.com before buying and selling lol
Technical Analysis.
"”Hopefully, there won’t be too many phone calls”"
=========================================================
What does that mean?
Name change?!
Don't tell me they're going back to RhyththmmOne??!!!
Like the rest of us invested here, me in particular, Andy Brough is hopeful for a turnabout of Tremors fortunes before the end of this year. (2nd half of 2023 for me). The name change that’s coming beforehand is prep for what I think will lead to a value consolidation sale of the (new)company in 2024…. ”Hopefully, there won’t be too many phone calls”
"Once the incentives end (SBCs), the top three S/hs won't vote for any more SBC, so there will be no incentive for the management to continue...."
==================================================================
I don't know if that is good or bad. Could be that Ofer drops us like a hot potatoe and moves his attention onto one of his other businesses. Perhaps it is time for someone else at the helm. Indeed if TRMR is a fully integrated company by then it might be better to have someone who can concentrate on the nitty gritty rather than having to firefight all the time. I get the feeling Ofer likes to grow through mergers rather than organic growth.

TRMR discussed from 37.11 (top one, 15.02.23). Some very odd comments from Andy Brough, sounds like he wanted out at the £7 - 8 price, but couldn't sell all he wanted. Also, seems like the top three holders are co-ordinating together to realise value, next year, after the managements' incentives come to an end. Reading between the lines, they are pushing for a sale and expect further consolidation as their way out.
Once the incentives end (SBCs), the top three S/hs won't vote for any more SBC, so there will be no incentive for the management to continue, which is the catalyst to force a sale.
Tremor's action against Alphonso/LG has dragged on for many months already and can't be connected to the court case of Alphonso versus LG, they are two entirely separate issues and will be treated accordingly.
Otherwise we could be embroiled for years to come.
I meant to say 'Alphonso previously had an exclusive collaboration with Tremor Video.'
But LG would have known of this and yet who pays Tremor for the 'crime'? Alphonso who reneged on its agreement with Tremor and whose senior officers were ousted by LG or LG for being the parent company with knowledge of the situation?
Serves them right.
They fooked us and now they are getting fooked themselves.
With any luck one of the Alphonso players will get his own back by handing over some info to Tremors lawyers.
Looks like Alphonso are now in the dock against LG who are trying strong-arm tactics to overpower them.
LG owns a 50.1% share of Alphonso and as well as ousting several founders and former top officers, they (LG) tried to alter the contract terms of an inventory agreement between Alphonso/LG Ads and the LG parent company.
In a way that would severely depress Alphonso’s value … by shifting margins away from Alphonso and, eventually, force minority stakeholders to sell at an unfairly low price (to LG).
LG previously had an exclusive collaboration with Tremor Video.
It seems that this was broken when the TV data and measurement company (Alphonso) rebranded to LG Ads.
Dog eat dog kind of world out there!
jrlse, re your.... Have you taken a look at the chart since Nov 21?
Sure. I've been looking at Tremor's chart for well over a decade, thank you.
I'm not prepared to re-track over my previously posted stuff and the reasons why I think Tremor is where it is. Suffice to say, on the back of what I have already said, I'm confident Tremor will emerge a formidable player in this sector. Those posts are there for you to read, or ignore as you chose.
In response to your...." Every quarter, after the result announcement it has dived by 20 to 35% without exception"....
Yep. The last three revenue misses in particular have been very painful, but I'll quote a remark from schroedar, (advfm), as I'm rather in tune with his line of thinking....
"The current valuation is based on Armageddon. Yes it’s tough out there but not that bad. This will recover and the time to buy is when all retail investors have thrown the towel in". ....."When this pops, I’d remind people of our ride from 80p to 800p. This thing can go vertical when sentiment turns at which point there will be no stock to buy".
Ps, s4 results were reassuring too that the wheels haven’t fallen off advertising completely….. worth a read. Sorrell is usually a good barometer of where we are at https://www.thedrum.com/news/2023/03/29/sorrell-cautiously-optimistic-s4-revenues-recover-last-year-s-auditing-misstep
While some investors prefer the use of a single analysis method to evaluate long-term investments, a combination of fundamental, technical, and quantitative analysis is the most beneficial.
"but the world of ad tech is not in Armageddon",
No, only sp of trmr.
Have you taken a look at the chart since Nov 21?
Every quarter, after the result announcement it has dived by 20 to 35% without exception and you say its OK?
