According to Companies House, a company director has 7 principal duties (Gov.uk/ companies house). These include:
a)Acting in a way that they consider in good faith would be most likely to promote the success of the company for the benefit of its shareholders, and
b) Managing conflicts of interest such as situations where the Director may be considering taking advantage, on a personal basis, of property, information or opportunity which belongs to the company.
I wonder to what extent we shareholders believe these duties have been adequately discharged?
Very Interesting to the point that, it is all up in the air at the moment, but from my view i believe there is a Hidden bidder in the Wings waiting to pounce when AA.L fails with shareholders and that could start a bidding war. I think other companies have waited to see if someone would put a low bid in and what the ramification would be. Now it is evident of the feelings so this could be all out bidding after the potential "NO" vote and this will see the stock rise again.

Link's standard reply is that they will post the Investor Code out and it would reach in 5 working days. But if you state the urgency of the matter and request them to post it by First Class, the person you are speaking to will discuss with their manager to get authorisation for First Class mail. They did this for me today.

I contacted Barclays Smart Investor today. They insist they need a 10 working day turnaround for the certificated share. I've made a complaint but it is too late.
In terms of giving them an instruction for the General Meeting they state the deadline is 5pm on Tuesday, which is an earlier date than I've read elsewhere.
The work Sharesoc are doing in trying to reform the treatment of investors with shares in nominee accounts is well worthwhile. Too late for me as I will lose a packet but I will not be happy if the vote is close.
I've also received no communication at all from Barclays. They state 'it is not a corporate action so we don't have to'. This is in contrast to HL who proactively contacted customers. So you are right - the organisations are not helping us in the least.
I really can't see administration if this deal is thrown out !

Those asking for 7p remind me of the Leyland 4.if its 5.5 the hedge funds are even if its 7 they have made a few bob that's why they want AAL to lock in the offer at 5.5 so they can not get wiped.But if AAL hold fast then you can bet odey will vote for 5.5 and be glad to get it.
To be fair, the construction seems to be on track, maybe even ahead of schedule, given they’ve slowed it down recently. So Mr Clarke seems to be pulling his weight. If it’s true he’s been shown the door, it would be just another indication of the ruthless heartless nature of that barsteward Fraser.
We know he doesn’t give a stuff about shareholders but he was quoted about being “devastated” for employees. But yet he’s cleaning house already.

That says to me that OD will accept 7p Jupiter (the hubby) will come in with 7.2p at the least so OD and Jupiter at least get more than the 5.5 offered.

Further more in the interest of fair play and bias the entire board should be replaced immediately,they are acting in their interests not ours,they should be dismissed without recompense they have failed miserably,a caretaker board picked from key investors would do a better more fair deal and Ill wager have more options for us,£5880 each keeps us going!
My dad wrote to Graham Brady (out local MP) regarding Sirius. We got his reply that was sent from Nadhim Zahawi MP at the dept for business.
As expected the letter was a very generic reply but at least they were good enough to reply. Wording was basically its on going. The PM is keen to show support for all regions of the UK and because Anglo negotiations are still ongoing it wouldnt be appropriate to comment on commercial matters.
Was worth a try and we keep fingers crossed.

What I don't understand is why every share holder doesn't receive a year or nay voting form automatically. This hodge podget system means an awful lot of holders are not going to register their say.
Mine get deleted too anything angry anti or from another forum which is pitched negative!
To get some perspective Id like them to stand on the centre spot at wembley a stadium full of shareholders in SXX for a day and explain to us why they get to keep our money,we paid for that mine,and look around at us all a full stadium of people who have been lied too,and see what what 85000 people look like! This is a stitch up CF JPM AA all of them in it together lips saying one thing whilst knowing all the time they were planning their own wealth laden exit.Sickening duplicity.

Heard Graham Clark is leaving Sirius, I don't know if its been mentioned before I don't come on very often.
Anybody else having problems registering with link registrars ?
HL told me Fri my shares would be withdrawn and Link Registrars informed electronically Fri pm.
Talked to them today and they are aware of my shares but wanted the share certificate number ( which I did not know they would need ) before they could give me my investor code so I could register to cast my vote. They could not be persuaded to give the code to me electronically or over the telephone.They would post it to me - within 5 workng days !
So back on the telephone to HL to ask for my share certificate number or investor code ( which is apparently on the share certificate ) but they are not sure they have a record although they will check. The share certificates are in the post but have yet to arrive.
I suggested that given what we are trying to do in securing individual votes it seemed very convenient that HL as brokers and Link Registrars as the organisation enabling my vote seemed unable to help within the deadline set to make the vote.
Am I being paranoid, or are the organisations supposedly set up to help us, trying to help II's and the AAL or SXX bod's instead ? Answers on this BB.
