Thank you Glandor all is explained, very good
Yes seepee, she has 375k extra shares as per the RNS of 23rd Nov issued in lieu of fees.
That is not in question. The clarification being made is that she did not buy on the open market as a poster posited here yesterday, she received them directly from the company.
"Under the Company's Remuneration Policy, Non-Executive Directors are entitled to receive a portion of their annual remuneration (between the value of A$15,000 to A$30,000) in shares" and later it indicates that Kate Hill received 375k shares under this scheme.
That's exactly as I read it too seepee. It looked as though she or a close associate topped up further.
Sounds good to me, even at that small quantity.
I might be wrong but I read it as, 9th of April 2020 kate hill has 2,187,080 representing 0.06 percent of the company but on 23rd of November 2020 she has 2,562,080 representing 0.07 present of the company an increase of 375000 shares happy to be wrong but that's the way I read it
Just to add a bit more here.
A company is only in a 'closed period' for the 30 day period leading up to their Annual and half-yearly accounts announcement, so for 60 days per year.
For some reason, posters on other boards seem convinced that a company can be regularly in a closed period, and on one board, the ceo not being personally invested was somehow due to him having been in a closed period for well over 2 years!
There are always exceptions too for trading, even during a closed period.
Market Sensitive news must be announced at the earliest possible opportunity, it cannot be held back for any reason.
Any Director would need to get internal authorisation to trade too, whether in a closed period, or not, and this would need to be approved within the company for compliance and transparency purposes - usually with them signing a disclaimer to say that they are not aware of any material public information.
Of course, compliance/adherence (and awareness) of these rules may differ from company to company (not trying to suggest anything by this, but many posters take the view that AIM companies play be different rules).

Thanks Glandore, noted.
Shallwe, she did not buy shares in the open market recently.
The difference between the number of shares today and the RNS a couple of days ago was due to shares owned by Dunford Super fund announced in the April RNS I quoted below.
Genuine question.
If Kate's shares were bought on the open market (for her gardener or whoever), does that mean that this is an open period where a market sensitive RNS can't be issued?
Philtronic, no it doesn't. It was in lieu of her fees
Glandore, well done for working that out... Eventually
Further to the announcement on the 23rd it says on the rns, which are the shares she was given as a bonus not bought on the open market this time.
We may continue to drift again, I think if we are waiting on the MOU decision we will be waiting a while IMO because the cars wont be on the road until 2023 so again it will be hush hush say no more. We may get another MOU rns though but without monetary value attached its just more of the same. Not complaining just being realistic.
or to be more precise .....Dunford Super Fund
9 April 2020
Director Share Purchase
Seeing Machines Limited (AIM: SEE, "Seeing Machines" or the "Company"), the advanced computer vision technology company that designs AI-powered operator monitoring systems to improve transport safety, advises that Dunford Super Pty Limited as trustee for Dunford Super Fund, a person closely associated with the Company's Chair, Kate Hill, has purchased 450,000 ordinary shares in the Company at a price of 3.30 pence each.
Following this transaction, Ms Hill has an interest in 2,187,080 Ordinary Shares, representing 0.06% of the issued share capital of the Company.
I was thinking more like chauffeur...
Yeah Glandore you're probably right, could be her gardener.
RE kate hill... not necessarily. The difference could be “people associated with her”. Perhaps....
So Kate Hill has bought more in the open market. Gone from 0.06% up to 0.07%
