YES votes from the BOD, Faith Isbecer and letters of intent, total 9.90%. It is unlikely they will achieve 75% YES vote with the 3.10p offer. A higher, or counter offer, will soon be on the table.

We have now and final 0,031£ A new offerer coming to the rescue or picking up that bargain No 75% YES votes in total even now after topping up 0,002£ per share. Meanwhile parties topping up shares in the know of MONI's valuables. Business units and cfwd loss.
The votes must be based on share holders as of a certain day in July (I assume) otherwise Monitise would be "double counting" shares that have been previously voted on and then sold on to someone else who can vote again. If that's the case then MVN have no motivation to be buying on behalf of Fiserv. From this morning's RNS: Monitise Shareholders who have submitted Forms of Proxy for the Court Meeting and/or the General Meeting but who wish to change their voting instructions are advised how to do this in the Supplementary Circular. Monitise Shareholders who have already submitted Forms of Proxy for the Court Meeting and/or the General Meeting and who do not wish to change their voting instructions will not need to take any further action as their Forms of Proxy will continue to be valid in respect of the Reconvened Court Meeting and Reconvened General Meeting.

they are probably buying to help fiserve to get enough yes votes plus they are making money if they keep buying at 3p and sell them at 3.1p at the end of takeover

Seems to me that Finserve and Lee Cameron plus others think wrong doing doesn't apply to them. A journalist could very well look into the goings on and reveal all. IMO a court hearing for accepting 3.01 should take place and votes taken again

It is intended that an application will be made to the London Stock Exchange to cancel trading of the Monitise Shares on AIM to take effect shortly after the yet to be announced effective date. The last day of dealings in Monitise Shares on AIM is expected to be the date of the reorganised court hearing. .. When I being an oversea shareholder keep holding, yet am not registered in person nor is my nominee since he does not take on any vote instruction nor follow me, I wonder how my holding will be considered than after a delisting. Any views?
The Boards of Fiserv and Monitise have announced that they have agreed the terms of an Increased and Final Recommended Cash Offer through which Fiserv UK Limited, an indirect wholly-owned subsidiary of Fiserv, will acquire the entire share capital of Monitise. The Acquisition will be effected by way of a Court-Sanctioned Scheme of Arrangement under Part 26 of the Companies Act 2006. The Increased and Final Offer price values the share capital of Monitise at approximately GBP75 million and represents a premium of approximately 34.8 percent to the Closing Price per Monitise share of 2.30 pence on 12th June 2017, the last Business Day prior to the commencement of the Offer Period. The Board of Monitise, having been so advised by Canaccord Genuity considers the terms of the Acquisition to be fair and reasonable. In light of feedback received from certain Monitise Shareholders, Fiserv requested that the Board of Monitise seek the permission of the Court to postpone the Court Meeting to allow for further discussions with these shareholders. Monitise announced that it has resolved to agree to Fiserv's request and sought and obtained an order from the Court postponing the Court Meeting to a date to be fixed. Accordingly, the General Meeting, originally convened for a time to follow on from the Court Meeting, will be correspondingly postponed to follow the postponed Court Meeting. It is intended that an application will be made to the London Stock Exchange to cancel trading of the Monitise Shares on AIM to take effect shortly after the yet to be announced effective date. The last day of dealings in Monitise Shares on AIM is expected to be the date of the reorganised court hearing. It is not currently known when the scheme will become effective.
