For those shareholder/ employees of Monitise the omens do not look that bright , if Fiserv succeed . https://www.glassdoor.co.uk/Reviews/Fiserv-Reviews-E1384.htm
MVC. Not only, but also "Utilising proprietary technology Monitise Content also operates a number of digital ticketing transactional platforms serving business partners EE and Nectar"
COPIED FROM YAHOO BB Not surprised to see a small increased bid amount. They're not going to jump in huge increments unless they absolutely have to do so. It is more prudent to bid in small amounts. And the "final" bid commentary tactic is used in negotiations all the time. It sounds great to them until people reject the offer. Then you have to do the "best and final" again. It could be the structure of the deal needs to change, where Fiserv becomes a large shareholder vs taking the entire company. If the reason FInkit hasn't been taken up is bc of balance sheet concerns, then having someone like Fiserv take a ~50% stake should provide enough confidence to get the ball rolling. Then shareholders get the long exposure they want as do Fiserv. They could also then decide on how to profit from the MVC business by disposal etc. Stand together. Vote NO.
The 2.9 to 3.1 move won't get it done.
Thanks basil, that's what I wanted to hear
NO, not with an offer of 3.1p.
Do we think they are likely to get the votes they require by 25 August.
Thanks for info. Another month to wait till payout !
a Fiserv transfer payment or would it be a Moni payment? takes place next week, this was a very mean attempt of a take over through the back door. Just in case and even though my oversea nominee broker denies connectivity nor registration of my holding with Monitise, I am going to take precaution and give clear instruction that no convertion to cash of my holding will be accepted unless it is based on the outcome from 25th, August.
Stew, I refer to the corporates correspondence user "email" and (others?) received Thues last week. Therafter payday is next week. I just wonder if PI's are done and gone once they really get paid. If letter was true. Dear Investor, Corporate Action – Monitise Plc - Scheme of Arrangement Account Number: XXXXXXXX On 13 June 2017, the boards of Fiserv, Inc. ("Fiserv") and Monitise plc ("Monitise") announced that they had reached agreement on the terms of a recommended cash offer by Fiserv UK Limited ("Bidco") (an indirect wholly-owned subsidiary of Fiserv), for the entire issued and to be issued share capital of Monitise (the "Acquisition") at a price of 2.9 pence in cash for each Monitise Share, to be effected by means of a Court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the "Initial Offer Announcement"). The Scheme Document was posted to Monitise Shareholders on 3 July 2017. On 24 July 2017, the Court Meeting and the General Meeting to approve the Acquisition were postponed on Fiserv's request, in light of feedback received from certain Monitise Shareholders. On 7 August 2017, the boards of Fiserv and Monitise announced that they have agreed the terms of an increased and final recommended cash offer for Monitise to be made by Bidco, to be effected by means of a scheme of arrangement under Part 26 of the Companies Act (the "Increased and Final Offer"). Under the terms of the Increased and Final Offer, each Monitise Shareholder will be entitled to receive: 3.1 pence in cash for each Monitise Plc share held The financial terms of the Increased and Final Offer are final and will not be increased, except that Bidco reserves the right to increase the amount of the offered price if there is an announcement on or after the date of this announcement of an offer or possible offer for Monitise by a third party offeror or potential offeror. On the above you will receive £XXXXXX for your holding. The proceeds are expected to be paid by 16 August 2017.
If this dismal takeover attempt succeeds ,I think it might be instructive to continue this board for those who decide to either go long or short on Fiserv ! Any views ?
After all this North Korea stuff ,are we sure Fiserv have the readies available ? Plenty of guys I know have had the readies pulled at the last moment by the banks !
Assuming a yes vote on 25 August, payment must be paid by 15 September. https://otp.tools.investis.com/clients/uk/monitise/rns/regulatory-story.aspx?cid=1162&newsid=900607
Fanti - Do you mean this is the payment date - 25th August, i.e. the date shareholders are paid 3.1p
I've had to work hard to make my broker accept I can vote pretty much by sending them the links. They did not accept it was a corporate action. They now understand. I'll be voting Against and if I lose further because of it, so be it.
Talking about the payment supposed to take place 15th, August, according to the bod's.
25th, August? Any payment executed better is rejected since this could be seen as confirmed or executed. No idea if that is possible. If so, this way YES votes could be collected easily.??? Just came to my mind.
I'm out at 3.0, couldn't be bothered to watch and wait just in case the Board of Clowns make another has of things, thank god I got out with a small profit, could have been a lt bigger though as Cavendish said. There are better opportunities around at the moment with current market panic going on, Tellit being an example as price has fallen off cliff following management shenanigans. GLA to those hanging on to the bitter end.
what exactly have i got to do to vote no for the present best offer iniative to go ahead?... And when?... In previous occasion and on a different stock all I had to do was give instructions to my broker to vote no. But Moni's case seems too complicated... Thanks to any kind hearted replying.
I think it is about time they considered entering the app banking business. Just think of the number of ready made customers who not only need bank accounts, but holiday money, insurance, loans, sipp's, isa's plus advertising revenue associated. Dreaming again!
Sorry thought it was 2017 on the previous link
It referes to an article posted June 2009! http://www.onlinebankingreviews.co.uk/2009/06/lloyds-tsb-first-to-launch-monilinks-balance-on-demand/
