Licensing payment update

Further to the announcement on 21st February 2024, the company is pleased to inform shareholders that the trust lawyers working to establish the trust fund have completed their work and the trust fund is now in place.
The company is therefore in a position to distribute licensing funds and has instructed the paying agent to commence the process and conclude the process accordingly during the next 7 working days.
The company would once again like to extend thanks to shareholders for their continued patience and support.

The company is pleased to announce that the enhanced payment for the DaaP of circa $4.5 million has been approved by the buyer. The exact amount will be decided at the time of distribution. The DaaP deal funds distribution will swiftly follow the license fee distribution. Shareholders are reminded that two separate payments will take place as notified before.
The trust lawyers are working on all documents to create a trust fund for shareholders that are unknown to the company due to the discrepancy arising from a miscalculation from a UK broker as previously mentioned. We have been advised this will be concluded by week starting 4th March 2024 and will revert back to shareholders to confirm.

Licensing payment update

The paying agent processing the payment transactions are experiencing difficulties reconciling the number of shares in issue due to miscalculation from a UK broker. The company was only made aware of this discrepancy recently and is working to resolve this.
The company is discussing the option of proceeding forward with the distribution before resolution of this issue which would entail retaining a nominal amount in trust until the situation has been fully resolved.
We apologise for this further delay whilst this is being resolved and will update shareholders as soon as possible.

Payment arrangements

Following the announcement of the 21st December 2023, it was intended that the agent aimed to be in a position to transfer funds during the week ending 19th January 2024. This timetable has slipped slightly at the behest of the Company (as explained below) and now, they affirm to establish contact with shareholders either directly or via their investment platforms during the following days ending 31st January 2024.
As mentioned at the time, there is an important but complex part of the process to notify all shareholders at the same time given that a link is sent to establish payment. This is relevant given the range of investors and their various currency requirements and to ensure that no one is disadvantaged by a lengthy notification process.
The company was notified yesterday that a number of private investors and a London based US institutional investor were contacted but could not be assured that all shareholders would then be communicated in a timely fashion. To avoid any potential disadvantage, the company has ensured no payments have been made today. The payment agent has given assurances to the company that it will be notifying all shareholders in a timely fashion next week.
As confirmed on the 11th January 2024, it has been confirmed the level of payment per share and all other parts of the process are ready for actioning.

Licensing & DaaP sale update

As previously disclosed, proceeds are being received via two separate transactions; the proceeds from the licensing deal and the sale of the DaaP. It was a requirement of the deal structure, to maximise the benefits to our shareholders, that agreement was reached on the quantum of proceeds from the licensing deal to be distributed to finalise the DaaP terms with the purchaser.
As disclosed on the 20th October 2023 and given the delays experienced during last year, much outside of the Company’s control, an enhanced payment for the DaaP sale has been negotiated. The Company is delighted to confirm that agreement has now been reached in principle with the buyer to apply a rate of interest to the previously disclosed consideration for this period. We look forward to confirming the final terms once the licensing payment procedure is completed.

Further Updates - Payment Arrangements

The Company is pleased to confirm that shareholders will receive 4.8 US dollar cents per share, after costs being an income from the distribution of licensing money.
The paying agent will contact investment platforms and individuals holding share certificates after Martin Luther King Day being a US federal holiday, starting from 16th January. Paying agent will provide further instructions and assist with any queries resulting from completing the relevant information and forms.

? what are you imagining the motive would be for someone like enzo to pretend, at this late stage of the cloudtag game? — if those deals are utterly genuine and fully completed as amit has claimed, then no posts on this chatboard will make any difference to the fabulous payouts that will soon be sent to shareholders; so why would someone pretend to be a shareholder here if they are not?
You tell me? You could also question the reason TW reported cloudtag to the FCA and AIM regulation when he clearly wasn't a cloudtag holder, what do you think his real motive was? You can be sure it wasn't for the benefit of anyone outside his little circlejerk.

I don’t think his personal domicile would be particularly relevant one way or the other ( … e.g. if your normal domicile is in vietnam but you murder somebody in london, it’s still gonna be the met that gets involved, not the hanoi plod!).
The bank transfers done for pre ipo were done in the UK i believe, plus he has domicile here unless im mistaken.
