MALVERN, PENNSYLVANIA, AND STAFFORD, UK, 30 June 2010 - PuriCore (LSE: PURI), the water-based clean technology company focused on developing and commercialising proprietary, green solutions that safely, effectively, and naturally kill infectious pathogens, announces that Resolutions 1 through 13 were duly passed at its Annual General Meeting held earlier today. Following the approval of the Resolutions, the Company's share capital will be consolidated on the basis of 1 new Ordinary Share of 10p each (the "New Ordinary Shares") for every 10 existing Ordinary Shares of 1p each (the "Existing Ordinary Shares"). An application has been made to the Financial Services Authority for admission of the New Ordinary Shares to the Official List, and it is expected that the New Ordinary Shares will be admitted to trading on the London Stock Exchange at 8.00am on 2 July 2010. It is expected that definitive share certificates in respect of the New Ordinary Shares will be dispatched to shareholders by 8 July 2010 and, where applicable, CREST accounts will be credited on 2 July 2010.
Apart from the change in nominal value, the New Ordinary Shares arising on implementation of the consolidation will have the same rights as and rank equally in all respects with the Existing Ordinary Shares, including in respect of voting, dividend, and other rights.
