(the "Company"), will be held in the boardroomat Suite 1600, 609 Granville Street, Vancouver, British Columbia, V7Y 1C3, onThursday, July 28, 2005, at 10 a.m. for the following purposes: 1. to receive the audited financial statements of the Corporation for the year ended December 31, 2004 together with the report of the Auditors thereon; 2. to elect directors for the ensuing year; 3. to appoint the auditors for the ensuing year and to authorize the directors to fix the auditors' remuneration; 4. to consider and, if thought fit, pass with or without variation an ordinary resolution ratifying and confirming the Corporation's Stock Option Plan; and 5. to transact such other business as may properly be brought before the meeting or at any adjournment or adjournments thereof.
