Transactions in shares by Persons Discharging Managerial Responsibility (“PDMRs”)

RSA Insurance Group plc (the “Company”) received notification on 9 May 2016, of the following transaction in its ordinary shares of £1 each (“Ordinary Shares”) by a PDMR.

On 9 May 2016, 9,483 Voluntarily Invested Deferred Shares held for Rowan Saunders under the Company’s 2006 Long Term Incentive Plan (“LTIP”) since 7 May 2013 were released from the Company’s employee benefits trust and were transferred to the UBS nominee account operated by the Company for its employees.

In addition, the associated 39,730 Voluntarily Invested Deferred Matching Shares which were conditionally under the LTIP lapsed in full.

This announcement is made following notifications made in accordance with Disclosure and Transparency Rule 3.1.4R.

The transactions were carried out in London.
