06 January 2010 Personal Group Holdings Plc (the "Company") DIRECTOR SHAREHOLDING

The Company has been informed today by Dr John Barber, Finance Director, that on 06 January 2010 he transferred 55,513 ordinary shares of 5p each ("Ordinary Shares") representing 0.19% of the issued share capital of the Company to his wife (T M Kennard). There was no consideration for this transaction.

Following this transaction there is no change in the beneficial holding of Dr Barber who remains interested in 353,972 Ordinary Shares, representing 1.18% of the total Ordinary Shares in issue.

EXERCISE OF OPTIONS AND SALE OF SHARES

The company has been informed today by Kenneth Rooney (Deputy Chairman) of the following transactions in Ordinary Shares in the Company.

1. Sale of 42,000 Ordinary Shares, at a price of 294.00 pence per share to

Personal Group Trustees Limited (a company wholly owned by the Company

which operates the Company's All Employee Share Option Plan (AESOP) and

Company's Share Option Plan (CSOP) schemes).

2. Exercise of options over 53,619 Ordinary Shares in the Company at a price

of 186.5 pence per share.

Following these transactions, which relate to the net funding of the options, Mr Kenneth Rooney has increased his beneficial holding to 211,690 Ordinary Shares, representing 0.71% of the total Ordinary Shares in issue.
