Capital Reduction Update
XP Factory, one of the UK's pre-eminent experiential leisure businesses operating the Escape Hunt® and Boom Battle Bar® brands is pleased to announce that the final hearing held today at the High Court of Justice approved the Company's application to cancel the amount standing to the credit of its share premium account ("Capital Reduction"), which was also approved by shareholders on 5 March 2025 and further details of which are set out in the Company's circular dated 14 February 2025.
The Court order confirming the Capital Reduction and a statement of capital approved by the Court in connection therewith will be sent to the Registrar of Companies shortly. The Capital Reduction will become effective upon the registration of the Court order and associated statement of capital by the Registrar of Companies.
Completion of the Capital Reduction will not affect the rights attaching to the Company's ordinary shares and will not result in any change to the number of ordinary shares in issue (or their nominal value).
