Scrip dividend election and PDMR dealing
The Company announces the following information in relation to the ordinary share capital of the Company:
Elections to accept the scrip dividend alternative with regard to the final dividend for the year ended 31 October 2018 paid on 30 April 2019 were received from the holders of 2,770,410 ordinary shares of 25p each in the Company ("Ordinary Shares"), in aggregate, representing approximately 14.0% of the Ordinary Shares in issue on 29 March 2019, being the record date for the interim dividend. Accordingly, 79,189 new Ordinary Shares have been issued in satisfaction of such elections at an equivalent price of £3.140 each, increasing the enlarged issued Ordinary Share capital of the Company to 19,850,985 Ordinary Shares. The additional cost to the Company of the dividend paid in cash amounts to approximately £1,521,632 in total.
In the issue, as set out in the dealing notifications below, three directors of the Company received new Ordinary Shares in lieu of cash dividends.
Application has been made for the new Ordinary Shares to be admitted to trading on AIM. Dealings are expected to commence on 7 May 2019.
Following the above transactions and for the purposes of the Financial Conduct Authority's Disclosure and Transparency Rules, the total number of Ordinary Shares in issue as at the date of this notice is 19,850,985 with each share carrying the right to one vote. There are no shares held in treasury. Therefore, the total number of voting rights in the Company is 19,850,985.
The above figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.
