Whitbread PLCPublication of Circular and Notice of General Meeting
Further to the announcement made on 31 August 2018, Whitbread PLC (the "Company" or "Whitbread") will today publish a circular (the "Circular") in relation to the proposed sale of Costa Limited to The Coca Cola Company (the "Transaction").
The Transaction is conditional on, among other things, the approval of Whitbread shareholders. Accordingly, the Circular contains a notice convening a General Meeting of the Company which is to be held at Goldman Sachs International, River Court / Brook House, 120 Fleet Street, London EC4A 2BE at 2.00 p.m. on 10 October 2018 at which an ordinary resolution will be proposed for Whitbread shareholders to approve the Transaction (the "Notice of General Meeting").
The Circular and the Notice of General Meeting have been submitted to the UK Listing Authority's National Storage Mechanism (the "NSM") and will be available for inspection on the NSM's website at www.morningstar.co.uk/uk/nsm.
The Circular and the Notice of General Meeting will also be available for viewing on Whitbread's website at www.whitbread.co.uk.
In addition to the passing of the required resolution at the General Meeting, completion of the Transaction is conditional on competition clearance from the antitrust authorities in the EU and China. The Transaction is expected to complete during the first half of 2019.
