Correction: Director/PDMR Shareholding

Windar Photonics plc (AIM: WPHO), the technology group that has developed a LiDAR wind sensor and software suite designed to monitor and optimise wind turbine performance across multiple turbine platforms, announces corrections to previously published director and PDMR shareholding announcements in respect of David Lis, Interim Executive Chairman.

Background

The directorate changes announcement published on 6 October 2023 disclosed Mr Lis' personal holding of 337,500 ordinary shares at the date of his appointment as Non-Executive Chairman. It did not disclose the holding of 50,000 ordinary shares held at that date by Patricia Lis, wife of Mr Lis and a person closely associated with him for the purposes of the UK Market Abuse Regulation. The total beneficial interest of Mr Lis and his connected persons at the date of appointment should therefore have been stated as 387,500 ordinary shares.

As a result of this omission, the combined beneficial interest of Mr Lis and his connected persons was understated in subsequent director and PDMR shareholding announcements.

In addition, the director/PDMR shareholding announcements published on 26 March 2025 and 14 April 2025 reported the combined beneficial interest of Mr Lis and his connected persons following bed-and-ISA transactions. The net cost of those transactions resulted in a reduction of 420 ordinary shares across those announcements that was not correctly reflected in the combined holding in the RNS dated 26 March 2026. The correct combined holding in the RNS dated 26 March 2026 should have been 2,258,181.

Current Holding

Taking into account both corrections above, the correct current total beneficial interest of David Lis and his connected persons is 2,258,181 ordinary shares, representing 2.33% of the Company's issued share capital.
