Warner Estate Holdings PLC28 April 2006 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner, P W Collins and R Moore, Directors of the Company, eachpurchased 36 Ordinary shares, and Mr M J Stevens, a Director of the Company,purchased 34 Ordinary shares in the Company today at 731p each under theCompany's All Employee Share Ownership Plan ("the AESOP"). Messrs. P C T Warner,P W Collins and R Moore purchased 18 of their shares as Partnership Shares and18 shares each were purchased by the Company as Matching shares under the rulesof the AESOP. Mr M J Stevens purchased 17 of his shares as Partnership Sharesand 17 shares were purchased as Matching Shares under the rules of the AESOP.All shares were purchased on their behalf by Capita IRG Trustees Limited, theTrustee of the AESOP. The Trustee will hold the Shares in Trust for a minimumperiod of five years following the date of the purchase. The shares purchasedrepresent less than 0.001 per cent. of the Company's issued ordinary sharecapital.
