Director's Share Transfer

In accordance with DTR 3.1.2 and DTR 5.1.2, Wilmington plc (the "Company") announces that it was notified on 24 November 2015, that Charles Brady, an Executive Director, transferred his total holding of 4,493,819 ordinary shares of 5p each in the Company ("Ordinary Shares"), to his family investment company, The Brady Family Investment Company, at a price of £2.66 per share. The transaction took place in Lichfield Staffordshire.

As a result of the above transaction, The Brady Family Investment Company has a direct interest in 4,493,819 Ordinary Shares, representing 5.17% of the issued share capital of Wilmington plc with voting rights. Charles Brady, through his position as a director and shareholder of The Brady Family Investment Company, has a beneficial interest in the 4,493,819 Ordinary Shares, representing 5.17% of the issued share capital of Wilmington plc with voting rights. Charles Brady holds no other shares in the Company.
