Result of General Meeting and satisfaction of conditions relating to the acquisition of American Leak Detection, Inc.
Further to the announcement on 7 July 2010 in relation to the Acquisition, the Open Offer, the Waiver, change of name of the Company to Water Intelligence plc and Admission, the Directors are pleased to announce that at the general meeting held earlier today, all resolutions were duly passed without amendment.
In addition, the conditions relating to the Acquisition (save for Admission), being, amongst others, the entry into and the drawdown under the Bank Facility and repayment of the ALDHC Debt have been satisfied in full. Words and expressions defined in the Company's Admission Document dated 7 July 2010 shall have the same meaning in this announcement.
The name of the Company will be changed to Water Intelligence plc today. Application has been made for a total of 8,987,053 New Ordinary Shares to be admitted to trading on AIM and it is expected that these shares will begin trading as Water Intelligence plc (Ticker: WATR) at 8.00 a.m. on Friday, 30 July 2010.
