Vistry Group PLC - Voting Rights and Capital

In conformity with the FCA's Disclosure and Transparency Rule 5.6.1R and as an update to the announcement made on 31 January 2024, please note Vistry Group PLC's capital consists of 341,770,977 Ordinary 50p shares.

The change from 344,585,422 Ordinary 50p shares on 31 January 2024 is due to the buyback of 2,827,577 shares by Vistry Group PLC, all of which have been cancelled and the issue of 13,132 shares to satisfy the exercise of share options.

Vistry Group PLC holds 1,090,803 shares in Treasury. The change from the 1,152,448 shares in Treasury on 31 January 2024 is due to the transfer of 61,645 shares.

Therefore, the total voting rights in Vistry Group PLC is 340,680,174. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in Vistry Group PLC under the FCA's Disclosure and Transparency Rules.
