Posting of Circular and Notice of General Meeting
Victoria PLC, (LSE: VCP) the international designers, manufacturers and distributors of innovative flooring, announces that it has signed an Investment Agreement with KED Victoria Investments LLC, an affiliate of Koch Equity Development LLC, in respect of the Follow-on Preferred Investment which was announced on 29 November 2021.
The issue of the Preferred Shares in connection with the Follow-on Preferred Investment is conditional upon the approval of the Company's Shareholders and a circular (the "Circular") has today been posted which contains notice of a general meeting ("General Meeting") to be held at 12.00 p.m. on 13 January 2022 at the offices of Victoria P.L.C. at Worcester Road, Kidderminster, Worcestershire, DY10 1JR.
In running the General Meeting, the Board's priority remains to safeguard the wellbeing of its colleagues, shareholders and wider communities and will take all necessary and appropriate precautions to ensure their safety. Given the Government's current Covid-19 guidance, the Board is asking that shareholders do not attend the meeting's physical venue. Shareholders will not receive a hard copy Form of Proxy for the General Meeting in the post and instead, will be able to vote electronically.
