Acquisition ofΒ HELMΒ Corporation
Tribal Group plc ("Tribal" or the "Group"), a leading provider of consultancy, supportΒ and delivery services to theΒ public sector, is pleased to announce theΒ acquisitionΒ ofΒ a majority equity stake inΒ The HELMΒ CorporationΒ Limited ("HELM")Β for Β£15.1m.
HELMΒ is aΒ leadingΒ consulting businessΒ providing management and financial consultancy services to the public sector in theΒ UKΒ and internationally.Β Β The businessΒ is based inΒ Northern IrelandΒ andΒ has been established forΒ over 17Β years. ItΒ employsΒ 82Β staff andΒ works withΒ approximatelyΒ 95Β active associates.Β
The acquisition represents an important step in Tribal's strategy of growing its businessΒ internationally, developing itsΒ UKΒ consultancy offeringΒ and increasing theΒ levels of committed income. ApproximatelyΒ 60% ofΒ HELM'sΒ revenue is generated outside theΒ UKΒ and the company is currently undertaking assignmentsΒ inΒ theΒ RepublicΒ ofΒ Ireland,Β Europe, Asia andΒ Africa. In theΒ UK,Β HELMΒ works with a range of local and central government clients inΒ England,Β ScotlandΒ andΒ Northern Ireland.
Much ofΒ HELM'sΒ international work is associated withΒ long-term development projects that provideΒ high levels ofΒ revenue visibility. For the remainder of 2008,Β overΒ 85% ofΒ the company'sΒ planned revenue is already committed and, forΒ 2009, the equivalent figure is 45%.Β Β

HELMΒ will form a new practice areaΒ within Tribal's existing consultancy business. HELM'sΒ expertise in finance, audit and governance will enhanceΒ and complementΒ Tribal'sΒ currentΒ consulting offering,Β whilstΒ itsΒ overseas experienceΒ and strong relationships with major international donor organisations,Β such as the World Bank, EU and the Department for International Development,Β willΒ open up new markets for Tribal's existing services.Β
The senior management team will all remain with the business and retain a significant minority interest in the equity ofΒ HELM.
HELMΒ has demonstratedΒ strong growth in recent years. In the unaudited management accounts forΒ theΒ yearΒ endedΒ 31 March 2008,Β HELMΒ hadΒ grossΒ assets of Β£7.9mΒ and achieved normalisedΒ operating profitΒ ofΒ Β£3.4mΒ on turnover of Β£14.7m.Β
Tribal has purchased 72% of the issued share capital ofΒ HELMΒ from its senior management teamΒ forΒ a total consideration ofΒ Β£15.1mΒ to be satisfied by:
Β£11.8mΒ in cash; and
the issue ofΒ 2,507,582Β new ordinary shares of 5p each in Tribal ("New Tribal Shares").
Further consideration of Β£1.6mΒ (to be satisfied in cash) will be paid to reflectΒ HELM'sΒ surplusΒ cash balances at completion.
TribalΒ plans to investΒ approximatelyΒ Β£300,000Β over the coming monthsΒ in integration and developingΒ HELM'sΒ infrastructure and systemsΒ butΒ the acquisitionΒ isΒ neverthelessΒ expectedΒ toΒ beΒ earnings enhancingΒ in the current financial year to 31 December 2008.
Tribal has entered into anΒ agreement with theΒ HELMΒ shareholders that allowsΒ for Tribal to acquireΒ from 2011Β the outstanding shares inΒ HELMΒ on the basis of a pre-agreed price formula. The consideration for acquiring the minority interest will be cashΒ or, at Tribal's option, 60%Β inΒ cash and 40%Β inΒ new Tribal shares.
Application will be made for the admission of the New Tribal Shares to trading on the Main Market of TheΒ LondonΒ Stock Exchange ("Main Market"). It is expected that the New Tribal Shares will commence trading on the Main Market onΒ 19Β JuneΒ 2008. The New Tribal Shares will rank pari passu in all respects with the existing ordinary shares of 5p each in Tribal.Β
InΒ order to retain financial flexibilityΒ andΒ inΒ the light ofΒ a growing range ofΒ opportunities available to the Group, the boardΒ of TribalΒ has decided not to initiate share buy-backs at the current time but to keep the matter under regular review.
