Thomas Cook Group plc awarded Contingent Share Awards under the Thomas Cook Group plc Performance Share Plan ("PSP") on 28 September 2012 to the following Directors:

The awards will vest three years from the date of the award subject to stretching performance targets being satisfied. 45% of the award will be based on the achievement of share price targets. The remaining 55% of the award will be subject to financial performance targets, which will be aligned with the strategic plan to be announced in spring 2013. The actual measures and targets will be determined after the announcement of the strategic plan and further consultation with shareholders. In the interim, this portion of the award will be subject to a share price target. Full details of the awards will be set out in the 2011/2012 Directors Remuneration Report.
