TATE & LYLE INTERNATIONAL FINANCE PLC FINAL RESULTS OF CASH TENDER OFFER
Tate & Lyle PLC (Tate & Lyle) announces the final results of an invitation by its subsidiary, Tate & Lyle International Finance PLC (the Company), to the holders of its £200,000,000 6.50 per cent. Notes due 2012 (the Notes) issued under the €1,000,000,000 Note Programme of the Company and Tate & Lyle to tender their Notes for repurchase for cash (the Offer).
The Offer was made on the terms and subject to the conditions contained in the tender offer memorandum dated 16 November 2009 (the Tender Offer Memorandum) and this announcement should be read in conjunction with the Tender Offer Memorandum. Capitalised terms used but not otherwise defined in this announcement shall have the meaning given to them in the Tender Offer Memorandum.
As at the Expiration Deadline of 4.00 p.m. (London time) on 23 November 2009, the Company had received valid tenders for £117,564,000 in aggregate nominal amount of the Notes. Tate & Lyle now announces that the Company accepts for repurchase, on a pro rata basis, Notes validly tendered in the aggregate nominal amount of £100,000,000. Each tender of Notes will be scaled by a factor of 0.85085 (rounded down to the nearest £1,000).
The determination of the Repurchase Price, which the Company will pay for each £1,000 nominal amount of the Notes accepted for repurchase by it, is expected to occur today at 2.00 p.m. (London time) and the announcement of the Repurchase Price is expected to occur as soon as practicable after such determination. Settlement is expected to occur on 27 November 2009.
