Further to the acquisition of DCL Consulting Engineers Limited. ("DCL"), announced in May 2007, DCL has exceeded the performance targets stipulated within the sale and purchase agreement in respect of the first year of ownership by Scott Wilson, as a result of which the DCL vendors are entitled to receive 58,896 ordinary shares in Scott Wilson. Application has been made for 58,896 ordinary shares of 10 pence each in the Company to be admitted to the Official List of the UK Listing Authority and to trading on the London Stock Exchange.
The above shares rank pari passu in all respects with the existing issued ordinary shares in the Company and it is expected that dealings will commence on 26th August 2008.
The DCL vendors are entitled to further consideration of up to £256,834 payable in ordinary shares over the next two years, again subject to the achievement of agreed performance targets.
