STV GROUP PLC (the "Company")
DIRECTOR/PDMR AND PCA SHAREHOLDING
The Company announces the release of a conditional nil cost share award to George Watt, Chief Financial Officer, granted on 10 June 2015 at 425p per share, under the STV Group plc Long Term Incentive Plan ("LTIP").
As reported in the 2017 Remuneration Report, 46% of the non-broadcast profit element of the award (which element made up 30% of the overall award) vested over the three year performance period. Neither the EPS nor the TSR elements of the award were triggered. Therefore, in accordance with the rules of the LTIP, 13.8% of the shares subject to the award vested and have been released which for Mr Watt equates to 7,094 shares.
Mr Watt has sold his shares to the STV Employee Benefit Trust ("EBT"). The shares were sold at a price of 428 pence per ordinary share of 50p each, being the closing price on Thursday 5 July 2018. The EBT will hold the shares for the purpose of satisfying future employee share awards.
The Company also announces that George Watt has today exercised and sold 53,470 of his 133,470 options previously earned and awarded under the 2013 Value Creation Plan. The shares were sold to the EBT at a price of 428 pence per ordinary share of 50p each, being the closing price on Thursday 5 July 2018.
