In conformity with the Disclosure and Transparency Rules, at close of business on 31 December 2020 the Company's issued share capital consisted of 537,345,716 ordinary shares of 15p each with voting rights. The Company holds nil ordinary shares of 15p each in Treasury.

Therefore, the total number of voting rights in St. James's Place plc is 537,345,716.

The above figure (537,345,716  ordinary shares of 15p each) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
