Share buy-back programme

Further to the announcement made on 31 July 2025, St. James's Place plc (the Company) announces that it is commencing a share buy-back programme to repurchase its ordinary shares, subject to a maximum consideration of £95.5 million. The programme will begin on 11 August 2025 and end no later than 31 December 2025. The sole purpose of the buy-back programme is to reduce the capital of the Company.

The programme will be carried out through an irrevocable non-discretionary agreement with Merrill Lynch International (MLI), pursuant to which MLI shall purchase ordinary shares as riskless principal (and not as agent of the Company) for the subsequent sale on to, and purchase by, the Company in accordance with the Company's current buy-back authority granted by shareholders at the Company's 2025 Annual General Meeting. MLI will make its trading decisions in relation to the ordinary shares independently of, and uninfluenced by, the Company (including, for the avoidance of doubt, in the case of any purchases made during closed periods).

This arrangement is in accordance with the applicable UK Financial Conduct Authority's UK's Listing Rules and the Company's general authority to repurchase shares.
