Total Voting Rights

On 13 May 2019, Computershare Trustees (Jersey) Limited, the trustee of the Company's Share Plans Trust (the "Trustee" and the "Trust"), subscribed for 70,000 ordinary shares of 1 17/200 pence each in the capital of the Company for a subscription price equal to the nominal value per share (the "EBT Shares"). The EBT Shares are held in a nominee account by Computershare Nominees (Channel Islands) Limited on behalf of the Trustee and will be used to satisfy Awards granted by the Company under its Performance Share Plan (the "PSP") as and when they vest/become exercisable in accordance with the rules of the PSP.

The EBT Shares rank pari passu in all respects with the existing issued shares of the Company.

In accordance with DTR 5.6.1R, as a result of the above issue, the Company's issued share capital consists of 444,852,520 ordinary shares of 1 17/200 pence each (the "Ordinary Shares"), with one vote per share. The Company does not hold any Ordinary Shares in treasury. Therefore, the total number of voting rights is 444,852,520 and this is the figure which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
