SPIRAX-SARCO ENGINEERING PLC - VOTING RIGHTS AND CAPITAL

In conformity with the Transparency Directive's transitional provision 6 we would like to notify the market of the following as at 31st March 2009:

Spirax-Sarco Engineering plc's capital consist of 77,227,516 ordinary shares with voting rights. Spirax-Sarco Engineering plc holds 1,186,450 shares in Treasury.

Therefore, the total number of voting rights in Spirax-Sarco Engineering plc is 76,041,066.

The above figure (76,041,066) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Spirax-Sarco Engineering plc under the FSA's disclosure and Transparency Rules.
