("Seeing Machines" or the "Company")

TOTAL VOTING RIGHTS

For the purposes of the Financial Services Authority's Disclosure and Transparency Rules, the Company announces that as at 30 November 2011 the total number of nil par value shares ("NPV shares") in issue is 413,638,879with each share carrying the right to one vote.

The Company has no shares held in treasury. The total number of voting rights in the Company is therefore 413,638,879. This figure of 413,638,879 NPV shares may therefore be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
