Application for Admission, Exercise of Awards and Total Voting Rights
SDL plc (the "Company")
Application has been made to the UK Listing Authority and the London Stock Exchange for admission to (i) the Official List and (ii) to trading on the London Stock Exchange's markets for an admission of securities in respect of 94,340 Ordinary Shares of 1p each ("New Ordinary Shares"), The New Ordinary Shares, which will rank pari passu in all respects with the existing ordinary shares in issue, are expected to be admitted to The Official List and to trading on The London Stock Exchange on 30 May 2014.
The New Ordinary Shares will partially satisfy the Conditional Award made to Mark Lancaster, Chief Executive Officer of the Company, which vested on 17 January 2014 for nil consideration pursuant to a Conditional Award originally made on 17 January 2011, see table below for more details. The balance of the award will be satisfied from existing blocklistings.
Furthermore, the Company announces that on 23 May 2014 Mark Lancaster, Chief Executive Officer, elected to retain 136,314 shares of the 341,510 shares realised from the exercise of grants made to him in April 2005 and January 2011 - see table below for more details. He sold205,196 ordinary shares at a price of 313.1 pence per share to fund the exercise costs and related income tax liabilities.

Following the disposal on the 23 May and the exercise of the above grants, Mark Lancaster's total holding in the Company including connected persons is 1,338,308 shares representing 1.65% of the issued share capital.
In accordance with the FCA's Disclosure and Transparency Rule 5.6.1(R) SDL PLC confirms that the total number of ordinary shares in issue at the date of this notice is 80,951,886 with each share carrying the right to one vote. No ordinary shares are held in treasury. Therefore, the total number of voting rights in the company is 80,951,886.
The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, SDL PLC under the FCA's Disclosure and Transparency Rules.
