Notification of Transactions by
Persons Discharging Managerial Responsibilities and Persons Closely Associated with them
The following notification made under article 19.1 of the Market Abuse Regulation ("MAR") relates to exercising of nil-cost options to persons discharging managerial responsibilities ("PDMR") on 28 January 2019 under the Softcat plc Long Term Incentive Plan ("LTIP"). This announcement is made in accordance with Article 19.3 of MAR.
Softcat Long Term Incentive Plan
The Company announces that on 28 January 2019, the LTIP awards made on 21 December 2015 to Graham Charlton have been exercised following full achievement of the performance criteria, with 100% of the LTIP awards vesting for nil consideration. Details of the number of ordinary shares of £0.0005 each in the share capital of the Company ("Shares") received by Persons Discharging Managerial Responsibility are set out below.

An application has been made to the UK Listing Authority and the London Stock Exchange for an additional listing of 141,666 ordinary shares of £0.0005 each to trade on the London Stock Exchange. It is expected that the shares will be admitted to trade on the Official List on 4 February 2019. The shares will rank pari passu with the existing ordinary shares of the Company.
Following these transactions, Mr Charlton and the persons closely associated with him will hold in aggregate 107,413 ordinary shares, which represent less than 0.1% of the Company's issued share capital.
Total Voting Rights
Following Admission, the Company will have 198,250,486 ordinary shares in issue. The Company has no Ordinary Shares held in treasury. The total number of voting rights in the Company following Admission will therefore be 198,250,486.
