Completion of Transfer of Ordinary Shares to the Premium Segment of the London Stock Exchange and Introduction of Sterling Quote

Further to its announcement on 5 August 2021, RTW Venture Fund Limited (the "Company") is pleased to announce the admission of all of its ordinary shares (the "Ordinary Shares") to listing on the Official List of the Financial Conduct Authority and to trading on the Premium Segment of the London Stock Exchange plc's Main Market ("Admission"). The application for Admission was approved by shareholder vote at the extraordinary general meeting held on 30 July 2021.

Admission will become effective at 8:00am today. The Company's existing ticker, ISIN and SEDOL will remain unchanged.

The Company is pleased to confirm an additional market quote for the shares on the London Stock Exchange denominated in GBP (the "GBP Quote"), in connection with which the Company has introduced a new ticker and SEDOL with effect from 8:00 a.m. today, as set out below. The GBP Quote will appear alongside the Company's existing USD market quote (the "USD Quote") and there will be no changes to the legal form or nature of the Company's shares nor to the reporting currency of the Company's financial statements or the NAV (which will remain in USD).
