Annual General Meeting ("AGM") Statement

RTW Venture Fund Limited (the "Company") announces that a motion will be tabled at the AGM proposing that Resolution 10 be withdrawn, on the basis that it is not required as the Board have been advised that it has full powers to issue shares without the resolution. The Annual General Meeting ("AGM") will be held at Trafalgar Court, Les Banques, St Peter Port, Guernsey on 25 June 2020 at 14.00 BST.

As previously notified, shareholders should carefully consider whether or not it is appropriate to attend the meeting in person this year. The Guernsey government have implemented a mandatory 14-day isolation period for people travelling to the island, which would make in-person attendance at the AGM impractical. As such, the Board encourages all shareholders to appoint the Chairman of the Meeting as their proxy as early as possible in order to vote on the matters being considered at the meeting. All votes on the resolutions contained in the Notice of Annual General Meeting will be held by poll, so that all voting rights exercised by Shareholders who are entitled to do so at the AGM will be counted.
