The Rank Group Plc ("Rank") - Director Declaration The following information is given in connection with Listing Rule 9.6.14 subsequent and in addition to the declaration given at the time of Owen O'Donnell's appointment as a non-executive director of Rank on 11 September 2008. On 6 April 2010 Mr O'Donnell advised Rank that he, through an independent consultant agreement, acts as a director of Baaima N.V. (formerly Joost N.V.) ("Baaima"), the parent company of a group of subsidiaries that previously operated the website located at the URL <www.joost.com>. Pursuant to this agreement, Mr O'Donnell also serves as a director of several of the group subsidiaries (the "Group Subsidiaries"). Neither Baaima nor any of the Group Subsidiaries are publicly quoted companies. With the exception of a single operating subsidiary in the United States (of which Mr O'Donnell is not, and has never been, a director), and a subsidiary in Slovenia focusing on software development (of which Mr O'Donnell is a non-executive director), Baaima is now in the process of winding up all of the Group Subsidiaries. For the purposes of those matters listed in paragraph (3) of LR 9.6.13 ("Relevant Events"), Mr O'Donnell has advised Rank that he is, or has within 12 months of Relevant Events been, an executive director of the following Group Subsidiaries:

- J805 Realisations Limited - In Liquidation (formerly Joost UK Ltd) - creditors' voluntary liquidation (commenced 2 October 2009) pursuant to section 283(1) of the Companies Act 2006 and section 84 of the Insolvency Act 1986; and

- Baaima Technologies B.V. (formerly Joost Technologies B.V.) - creditors plan of composition ratified by Dutch court on 25 March 2010.

Mr O'Donnell has confirmed that neither Baaima nor any of the other Group Subsidiaries of which he is, or has within the last 12 months been, a director, have been subject to any Relevant Event.
