Director & PDMR Share Transfers
Quartix Holdings plc, a leading supplier of subscription-based vehicle tracking systems, software and services in the UK, has today been informed of separate transfers of ordinary shares of 0.1p each in Quartix Holdings plc ("Ordinary Shares") by a director of the Company and a senior manager.
As set out in the Company's admission document dated 29 October 2014 (the "Admission Document"), Andrew and Dominie Walters have today donated a total of 460,000 Ordinary Shares to Clare College, Cambridge (registered Charity no. 1137531) (the "College"). This donation will be used by the College to provide means-tested bursaries for undergraduates, and to support the College's access and outreach activities. Mr Walters is subsequently interested in a total of 17,855,986 Ordinary Shares representing 38.3% of the Company's issued Ordinary Share capital.
Separately, Ken Giles has today transferred a total of 450,000 Ordinary Shares to his adult children for no consideration. Mr Giles is subsequently interested in 3,371,800 representing 7.2% of the Company issued Ordinary Share capital.
Each of the recipients of these transfers has agreed to be bound by the terms of the lock-in arrangements restricting dealings in Ordinary Shares by Andrew Walters, Dominie Walters and Ken Giles, as described in the Company's Admission Document. All of the remaining holdings of Andrew Walters, Dominie Walters and Ken Giles are subject to the lock-in provisions set out in the Company's Admission Document.
