BLOCK LISTING - AMENDMENT

Further to the announcement made on 24 September 2015 regarding the application for a block listing of 100,000 shares in Pennon Group Plc, the purpose for which the block listing may be used has been revised to cover only the Pennon Group All-Employee Sharesave Scheme. Reference to the Performance and Co-Investment Plan and the Annual Incentive Bonus Plan has been removed. The amended announcement is shown below.

Application has been made to the UK Listing Authority for the admission of 100,000 Ordinary shares of 40.7 pence each in Pennon Group Plc to the Official List and to the London Stock Exchange for these securities to be admitted to trading as a block listing.

The application is being made in respect of the shares that may fall to be issued pursuant to the exercise of options under Pennon Group All-Employee Sharesave Scheme. As at 25 September 2015, 148,967 shares remain to be allotted under schemes that matured on 1 September 2015 (subject to options being exercised). The potential shortfall of 48,967 shares will be met by the remainder of Pennon Group Plc's existing block listing facility (85,685 shares remaining as at 25 September 2015). Admission is expected to be effective from 28 September 2015.
