PULSAR HELIUM AWARDS SECURITY BASED COMPENSATION, STOCK OPTION EXERCISE AND TVR
Pulsar Helium Inc. (AIM: PLSR, TSXV: PLSR, OTCQB: PSRHF) ("Pulsar" or the "Company"), a primary helium company, announces that on April 25, 2026, the Board of Directors (the "Board") awarded security-based compensation awards to directors and several members of the senior management team, designed to further increase alignment of such personnel with growth in shareholder value and the future success of the Company.
The Board awarded:
a total of 5,400,000 stock options, including 3,950,000 to officers and directors of the Company. The stock options were granted pursuant to the Company's Stock Option Plan and give the optionee the right to purchase one common share (a "Share") at a purchase price of CAD$1.60 per Share, being the Company's closing share price on the TSX Venture Exchange on Friday, April 24, 2026, for a period of five years from the date of grant. The stock options granted to the Board of the Company are to vest immediately, and the stock options awarded to officers and consultants of the Company are to vest as to 25% immediately, and 25% each year thereafter. a total of 850,000 performance share units ("PSUs") were awarded, including 750,000 to two officers of the Company, under the Company's Equity Incentive Plan. The PSUs vest as to one-third each on the first, second and third anniversaries of the award date.a total of 1,050,000 restricted share units ("RSUs") were awarded to an officer of the Company, under the Company's Equity Incentive Plan. The RSU vests as to one-third each on the first, second and third anniversaries of the award dateThe stock option grant, PSU and RSU awards are pursuant to the Company's shareholder approved Stock Option Plan and Equity Incentive Plan, which conform to the policies of the TSX Venture Exchange.

Stock Option Exercise
In addition, the Company notes that on April 24, 2026, 1,000,000 stock options, issued pursuant to the Company's shareholder and TSX Venture Exchange approved Stock Option Plan, were exercised at an exercise price of CAD$0.69, and generated cash proceeds for the Company of CAD$690,000.
Admission to AIM and Total Voting Rights
Application has been made to the London Stock Exchange plc for the admission of the 1,000,000 new common shares issued pursuant to abovementioned stock option exercise, to be admitted to trading on AIM, which is expected to occur and dealings commence at 8.00 a.m. on or around April 30, 2026. The new common shares will rank pari passu with the Company's existing common shares.
On Admission, the total number of common shares in issue will be 186,224,719 with voting rights. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company's issued share capital pursuant to the Company's Articles.
