The form is being filed as a late notification of the crossing of the 4% threshold on 19 September 2017. The information in the body of this form relates to the crossing of the 4% threshold only.
There was a prior crossing of the 3% threshold on 8th September 2017 that in error was not notified. The details of the prior crossing of the 3% threshold are as follows:
On 8th September 2017, as a result of purchasing additional economic interests via a total return swap, the 3% threshold was crossed. The resulting position at 8th September 2017 was a total economic interest equivalent to ownership of 3.08% or 4,573,128 voting rights, all of which was in total return swaps. A timely notification was not made in error due to a misunderstanding regarding the filing requirements around purely synthetic positions, which we mistakenly believed were not in the scope of the regulations.
The late notification of the crossing of the 4% threshold also arises as a result of the same mistaken belief.
The shareholder identified in Section 4 of this form is the shareholder of record for the shares physically owned and identified in Section 8A. | ||||
