Pennant International Group plc announces that on 3 April 2012 Christopher Powell, Chairman of the Company, transferred 691,000 ordinary shares of 5p each ("Ordinary Shares") from the Mr CC Powell Pension Fund at a price of 28.25 pence per share, to members of his family.
The Company announces that further to the transfer of ordinary shares between members of Mr Powell and his Concert Party on 3 April 2012, Mr Christopher Powell and his Concert Party hold ordinary shares as follows. The table below shows the holdings as disclosed in the Rule 9 waiver circular dated 29 March 2012, and, as at today's date .

As a result of these transactions the total number of ordinary shares held by Mr Powell and his Concert Party has not altered. There has been a percentage increase in the holding due to the fact that as of today's date there are 1,786,364 ordinary shares held in treasury compared with 1,731,364 ordinary shares held in treasury on 29 March 2012.
