OMEGA INSURANCE HOLDINGS LIMITED
ACQUISITION EFFECTIVE DATE AND CANCELLATION OF LISTING
Omega Insurance Holdings Limited ("Omega" or the "Company") announces that the Bermuda Registrar of Companies has issued at 6.00 p.m. (London time) today the Certificate of Amalgamation in respect of the Acquisition of Omega by Canopius Group Limited ("Canopius") and therefore the Acquisition is now effective.
The listing of Omega Common Shares on the Official List of the UK Listing Authority will be cancelled and consequently the Omega Common Shares will cease to be admitted to trading on the London Stock Exchange's Main Market for listed securities, both with effect from 8.00 a.m. (London time) on 21 August 2012.
Settlement of the cash consideration in respect of the Acquisition Price should be effected by Canopius by no later than 5 September 2012.
Unless the context otherwise requires, terms defined in the circular sent to shareholders on 14 May 2012 but not defined herein have the same meaning when used in this announcement.
