Ocado Group plc (the "Company") Listing and Block Listing Application

Application for additional listing of shares

An application has been made to the Financial Conduct Authority ("FCA") and the London Stock Exchange ("LSE") for 181,155 of its ordinary shares of 2 pence each ("Shares") to be admitted to the Official List of the FCA and admitted to trading on the main market for listed securities of the LSE. Admission is expected to take place on 15 August 2024.

The Shares are being issued to satisfy the exercise of options pursuant to the Ocado Restricted Share Plan. When issued, the Shares will rank pari passu with the Company's existing issued shares.

Application for block listing

A further application has been made to the FCA and the LSE for the admission of 4,200,000 of its ordinary shares of 2 pence each ("Shares") to the Official List of the FCA and to trading on the main market for listed securities of the LSE. The Shares will rank pari passu with the existing issued ordinary shares of the Company.

The Shares will be reserved under a block listing in connection with the Company's Restricted Share Plan ("RSP"). The Shares will be issued from time to time in satisfaction of share awards granted under the RSP.

Admission of the Shares is expected to take place on 15 August 2024.

This announcement is made in accordance with Listing Rule 3.5.5.
