NWF Group PLC04 October 2007 For release 4 October 2007 NWF GROUP PLC Bonus Issue NWF Group Plc ("NWF" or the "Company") announces today that at the ExtraordinaryGeneral Meeting held earlier today the resolution approving the proposed bonusissue of four new ordinary shares of 25 pence each ("New Ordinary Shares") foreach existing ordinary share held by each shareholder on the register at theclose of business on 4 October 2007. The New Ordinary Shares will, on Admission,rank pari passu in all respects with the existing issued ordinary shares andwill rank in full for all dividends and other distributions thereafter declared,made or paid from the ordinary share capital of the Company, except for thefinal dividend declared by the Company on 14 August 2007, which is payable toShareholders on 1 November 2007. The Bonus Issue will result in the issue of 37,512,844 new ordinary shares andthe Company will have an aggregate of 46,891,055 ordinary shares in issue. It isanticipated that the new ordinary shares will be admitted to trading on AIMtomorrow, 5 October 2007. Share certificates in respect of New Ordinary Shares are expected to bedespatched to certified Shareholders by no later than 12 October 2007 and theCREST accounts of uncertificated Shareholders will be credited with new ordinaryshares as soon as practicable after the admission of the New Ordinary Shares on5 October 2007. As a result of the Bonus Issue, the price of each ordinary share will change toapproximately one fifth of its present level when the existing ordinary sharesare quoted "post bonus issue", expected on 5 October 2007. This reflects thefact that each shareholder will have five times as many ordinary shares as wereheld immediately before the issue of the New Shares. In addition, NWF is pleased to announce that all other resolutions proposed atthe Annual General Meeting and the Extraordinary General Meeting held earliertoday were passed by shareholders.
