Posting of Annual Report and Accounts

Notice of Annual General Meeting

NAHL, the leading UK consumer marketing business focused on the UK legal services market, announces that the Annual Report and Accounts for the year ended 31 December 2019 has been distributed to shareholders together with the Notice of the Annual General Meeting. The Annual General Meeting ("AGM" or "Meeting") will be held at 10am on 25 June 2020 at 1430 Montagu Court, Kettering Parkway, Kettering, Northants, NN15 6XR.

Regrettably this year's AGM will be held as a closed meeting due to the restrictions relating to Covid-19, meaning that in accordance with the Government's prohibition on public gatherings, shareholders will not be able to attend in person. The Meeting will be convened with the minimum number of shareholders present in order to form a quorum under the Company's articles of association, and these shareholders will be Directors of the Group. To ensure safety, other shareholders attempting to attend the AGM will be refused entry.

Despite the necessary changes to the AGM process, the Board recognises that the AGM provides an important opportunity to engage with shareholders. We have therefore put in place measures to enable any shareholder wishing to follow the progress of the meeting to do so using a conference call link. Shareholders should contact the Company Secretary by no later than 10:00 am on 23 June 2020 at investors@nahl.co.uk in order to request conference dial-in details. To gain access to the dial-in details, shareholders will need to provide evidence of their holdings or a copy of a representation letter. The Company will carry out identity verification checks with its Registrar and once these are complete, joining instructions will be provided in advance of the AGM. Shareholders are reminded that they will not be able to ask questions or vote via the conference call facility and use of this facility will not constitute formal attendance at the Meeting

In light of the circumstances the Board would like to remind all shareholders to appoint a proxy to submit their voting instructions electronically in advance of the Meeting; and to submit any question that they would like to be answered on the formal business of the AGM by sending it to investors@nahl.co.uk by no later than 10:00 am on 23 June 2020.
