Notification of transactions in interests in Ninety One plc and Ninety One Limited shares (whether direct, indirect, beneficial or non-beneficial) by relevant Directors, Persons Discharging Managerial Responsibilities ("PDMRs") and persons closely associated with them, prescribed officers, companies secretaries and associates
As part of the dual listed company structure, Ninety One plc and Ninety One Limited (together "Ninety One") notify both the London and Johannesburg Stock Exchanges of those interests (and changes to those interests) of (i) directors of both entities and the respective company secretaries and such persons' respective associates and persons closely associated with them, (ii) prescribed officers and persons discharging managerial responsibilities ("PDMRs") and such persons' respective associates and persons closely associated with them, and (iii) in certain instances the directors and company secretaries of major subsidiaries of Ninety One and such persons' respective associates, in the securities of Ninety One plc and Ninety One Limited which are required to be disclosed under Article 19(1) of the Market Abuse Exit Regulations 2019 ("UK MAR"), the Listing Rules, and the Disclosure Guidance and Transparency Rules of the FCA and/or the JSE Listings Requirements.
On 28 May 2021 the individuals set out below acquired participatory interests in the Marathon Trust, which is a long-term share ownership vehicle established to enable key employees of Ninety One to collectively participate in an indirect equity shareholding in Ninety One. The participatory interests in the Marathon Trust are not listed or traded on a trading venue or any other exchange. The Marathon Trust is the sole shareholder of Forty Two Point Two. Forty Two Point Two owns shares in Ninety One plc and Ninety One Limited. Accordingly, we advise of the following acquisition of interests in Ninety One plc and Ninety One Limited shares. Overall the participatory interests acquired under the transaction represent an interest in 0.0501% of Ninety One shares for Hendrik du Toit and 0.0235% of Ninety One shares for David McGillveray. Where applicable, the individuals set out below received clearance to deal in terms of paragraph 3.66 of the JSE Listings Requirements.
