Issue of Equity
MJ Hudson, the international asset management consultancy, announces that, pursuant to the agreement dated 16 August 2016 as described in the Company's admission document dated 11 December 2019, the Group has settled the earn out payment in relation to the acquisition of AllenbridgeEpic Investment Advisers Limited and Allenbridge Limited ("Allenbridge").
The earn out payment comprises the issue of 143,182 ordinary shares of nil par value in the Company ("New Ordinary Shares") at a price of 44 pence per New Ordinary Share, of which 95,455 Ordinary Shares are locked in until 13 December 2020. Application has been made for the New Ordinary Shares to be admitted to trading on AIM, and it is expected that admission will occur at 8.00 a.m. on or around 29 October 2020.
Following admission of the New Ordinary Shares, the Company's issued ordinary share capital will comprise 171,463,402 ordinary shares, each with voting rights, which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
