Statement regarding London Capital Group Holdings plc

On 2 July 2014, Spreadex.com Limited ("Spreadex") announced that it had submitted a preliminary, non-binding indication of interest to the board of directors of London Capital Group Holdings plc ("LCG") regarding a possible cash offer for the entire issued and to be issued share capital of LCG. As noted in that announcement, the making of any firm offer by Spreadex was subject to certain pre-conditions, including that the proposed financing announced by LCG on 17 June 2014 (the "Proposed Financing") did not proceed. Spreadex notes the recent announcement by LCG confirming that the Proposed Financing was approved by LCG's shareholders at a general meeting of LCG held this morning and that the Proposed Financing will therefore proceed, subject to the appropriate regulatory approvals being received. Accordingly, Spreadex announces that it does not intend to make an offer for LCG.

For the purposes of Rule 2.8 of the Code, Spreadex reserves the right to announce an offer or possible offer or make or participate in an offer or possible offer for LCG (and/or take any other action which would otherwise be restricted under Rule 2.8 of the Code) within the next six months following the date of this announcement in the circumstances set out in Note 2 to Rule 2.8 or otherwise with the consent of the Panel on Takeover and Mergers.
